1.THE SELLER
As used herein, “Seller” means MB “LAIPTAI AUKŠTYN” (company code: 304835328), a Lithuanian privately held company with headquarters located at Savanorių pr. 235, Vilnius, LT-02300, Lithuania.
2. DELIVERY/DISPATCH
2.1 The INCOTERMS rules established herein always refer to the latest version of the INCOTERMS, unless otherwise stated in the order confirmation.
2.2 Irrespective of the INCOTERMS rule adopted, the ownership of the goods always passes to the Buyer when the goods are handed over to the Buyer or the carrier.
2.3 Upon receiving the goods, the Buyer is obliged to check the conformity of the delivery with the documentation received, inspect the goods and accept them by signing (if obligated by carrier). You are deemed to have accepted goods delivered unless written notice of rejection specifying the reasons for rejection is received by us within five calendar days after delivery of the goods.
2.4 The Seller is entitled to deliver the goods and to invoice them individually. A delay in the delivery of the goods does not release the Buyer of its obligation to accept the delivery and pay for it
2.5 The Seller is not obliged to insure the deliveries or the proper performance of its obligations hereunder. The Seller will not be obliged to bear or compensate for any insurance costs sustained by the Buyer.
2.6 Delivery time depends on the selected carrier/shipping method. If preliminary time is not shown prior to ordering, we can provide preliminary timing upon request.
2.7 All orders are usually dispatched within three business days* (72h). We will contact you if your order cannot be dispatched in this time period.
2.8 A partial shipment may be delivered to the Buyer upon written request.
*A "business day" means any day other than a Saturday, Sunday or official holiday in Lithuania.
3 RETURNS/REFUNDS
We do not accept returns. We ship product samples on request. In case of product quality-related issues (which were not detected prior to shipping), we provide a full or partial refund. In case of a damaged shipment (by the carrier), we provide a full or partial refund, depending on the inflicted damage severity.
4. WARRANTIES
The seller assumes no responsibility for the design of the goods that are the subject of this transaction. The Buyer retains sole legal responsibility for the design specifications and performance of the goods that are the subject of this transaction. Buyer is solely responsible for ensuring the goods purchased from Seller meet applicable regulatory requirements.
5. FORCE MAJEURE
Either party shall be excused from any delay or failure in performance if caused by reason of any occurrence or contingency beyond its reasonable control, including, but not limited to, acts of God, acts of war, fire, insurrection, strikes, lock-outs or other serious labor disputes, riots, earthquakes, floods, explosions or other acts of nature. The obligations and rights of the party so excused shall be extended on a day-to-day basis for the time period equal to the period of such excusable interruption. When such events have abated, the parties’ respective obligations shall resume. In the event the interruption of the excused party’s obligations continues for a period in excess of thirty calendar days, either party shall have the right to terminate the applicable contract(s) of sale, without liability, upon thirty calendar days’ prior written notice to the other party.
